These terms define the contractual relationship between Universal Business Technology and its customers when subscribing to the cloud platform or using any of its systems.

1Acceptance of Terms

Your use of Universal Business Technology's platform or systems (whether the desktop application, the web platform, point-of-sale, or any related module) constitutes explicit acceptance of these Terms of Use in full. If you do not agree to any provision of these terms, please discontinue use of the system.

2Description of Service

The Company provides a multi-tenant Enterprise Resource Planning (ERP) system, including modules for sales, purchasing, inventory, accounting, real estate management, point of sale, and e-invoicing compliant with ZATCA requirements, delivered either as a desktop application or as a cloud-based (SaaS) service via the web platform.

3Subscription & Billing

  • Subscription plans and fees are determined by the tier selected by the customer, and may vary based on the number of users and activated modules.
  • Subscriptions renew automatically at the end of each billing cycle unless cancelled by the customer prior to the renewal date.
  • Non-payment of due fees may result in temporary suspension of access to the service until outstanding amounts are settled.

4Customer Responsibilities

  • The accuracy of data entered into the system, including invoicing, customer, and inventory data.
  • Maintaining the confidentiality of login credentials for the organization's users and appropriately managing their permissions.
  • Compliance with applicable local laws and regulations relating to accounting, taxation, and e-invoicing.

5Intellectual Property

All rights related to the system, including source code, design, logos, and any software components, are the exclusive property of Universal Business Technology. Subscribing to the service does not grant the customer any right to copy, modify, or redistribute the system or any part of it.

6Data Ownership

All data entered by the customer into the system remains the customer's exclusive property. The customer has the right to request the export or retrieval of their data, subject to the technical mechanisms available in the system and the applicable subscription terms.

7Compliance & E-Invoicing

The system provides the necessary tools for e-invoicing compliant with ZATCA requirements. However, ultimate responsibility for the accuracy of the tax and accounting data entered, and for actual compliance with tax regulations, rests with the customer.

8Limitation of Liability

The service is provided "as is," and the Company does not guarantee that it will be entirely free of errors or uninterrupted. The Company shall not be liable for any indirect, consequential damages, or loss of profits arising from the use of, or inability to use, the system, to the extent permitted by applicable law.

9Termination

Either party may terminate the subscription in accordance with the terms agreed upon in the subscription contract. The Company reserves the right to immediately suspend or terminate the service in the event of a material breach of these terms or the Usage Policy.

10Governing Law

These terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, and the Saudi courts shall have exclusive jurisdiction over any dispute arising therefrom.

11Changes to these Terms

The Company may update these Terms of Use from time to time. Any material changes will be published on this page along with an updated revision date, and continued use of the system after publication constitutes acceptance of the updated terms.
